STANDARD INTERNATIONAL NON-EXCLUSIVE ARTIST LICENCE

3. LICENCE GRANT
After full payment has cleared, the Creator grants the Artist a personal, worldwide, non-exclusive and non-transferable licence to arrange, rehearse, perform, record, distribute, promote and commercially release one authorised artist version of the Song in audio and audiovisual formats, subject to the selected Licence Period and the remaining terms of this Agreement.
4. OWNERSHIP
The Creator retains ownership of the underlying lyrics, composition and publishing rights. The Artist receives no ownership of the Song and must not claim authorship. Because this licence is non-exclusive, the Creator may perform the Song and grant the same or similar rights to other artists.
5. THE ARTIST'S RECORDING
Subject to the Creator's rights in the Song, the Artist owns the Artist's newly created performance and sound recording. The Creator will supply the materials identified in the Agreement Details after a successful purchase through the protected delivery area or another agreed secure method. No demonstration recording, stem, artwork or other material is transferred unless it is expressly listed.
6. RIGHTS DURING THE LICENCE PERIOD
During the Licence Period, the Artist may create, release, distribute, sell, stream, broadcast and promote the authorised recording; create reasonable promotional audiovisual material containing that recording; perform the Song live; and collect revenue to which the Artist is entitled under this Agreement and any applicable distributor, platform, broadcaster or collecting-society arrangement.
7. CONTINUING RECORDED USE AFTER A FIXED TERM
Where the purchase details specify a fixed Licence Period, any authorised recording created and first released during that period may remain available worldwide after the period expires. The Artist is not required to remove, delete or withdraw that authorised recording solely because the fixed period has ended. The recording may continue to be streamed, downloaded, sold, broadcast, distributed and reasonably promoted, and related royalties or other revenue may continue to be collected and paid subject to this Agreement and applicable third-party arrangements. These continuing recorded-use rights survive expiry of the fixed Licence Period.
8. RESTRICTIONS AFTER A FIXED TERM
After a fixed Licence Period expires, the Artist may not create or release a new recording, remix, adaptation, translation or substantially altered version of the Song; authorise another artist or third party to create a new recording; or place the Song in a new film, advertisement, game or other synchronised production unless a renewed or additional licence has been obtained.
9. LIVE PERFORMANCE AFTER A FIXED TERM
The Artist's contractual permission under this Agreement to perform the Song live ends when a fixed Licence Period expires. Any live performance after that date requires a renewed licence or another form of lawful authorisation. This clause does not limit separate permission lawfully obtained from a copyright owner, collecting society, performing-rights organisation, venue, event organiser or other authorised licensing body.
10. PERPETUAL OPTION
Where the purchase details state that the Licence Period is perpetual, the granted rights continue for the duration of copyright in the Song unless terminated for an uncorrected material breach or applicable law requires otherwise. There is no scheduled fixed-term expiry.
11. CREDIT AND PERMITTED CHANGES
Where credits are reasonably available, the Artist must credit the songwriter or creator as: "Written by Mark Shephard." Existing writer and publisher credits must not be removed. The Artist may make normal musical, production, key, tempo and arrangement changes. Material changes to the lyrics, title, melody or authorship credits require the Creator's written approval.
12. RESTRICTIONS
The Artist must not sell, assign, sublicense or transfer this licence; register ownership of the underlying Song; use the Song unlawfully or misleadingly; or provide the Song to another artist as though that artist were licensed.
13. ROYALTIES, COLLECTING SOCIETIES AND THIRD-PARTY RIGHTS
The licence fee is payment only for the rights controlled and expressly granted by the Creator. It does not replace royalties, statutory licences, collecting-society charges, mechanical royalties, performance royalties, platform fees, co-writer permissions, publisher permissions or other third-party clearances that may apply in a country or to a particular use. Each party remains responsible for their own registrations, reporting, taxes and obligations.
14. CREATOR AND ARTIST RESPONSIBILITIES
The Creator states that they control the rights they are offering and have authority to grant this licence. The Artist is responsible for the Artist's recording, performers, samples, production, distribution and release clearances.
15. BREACH AND TERMINATION
Either party may give written notice of a material breach. Where the breach can be corrected, the party in breach has 30 days after receiving notice to correct it. If it is not corrected, the non-breaching party may terminate the Agreement to the extent permitted by applicable law. Expiry or termination does not remove payment, reporting or royalty obligations already incurred. Continuing recorded-use rights after ordinary fixed-term expiry are not cancelled merely because the selected period has ended.
16. INTERNATIONAL OPERATION AND MANDATORY LAW
The parties intend this Agreement to operate internationally. It is governed by the law and jurisdiction stated in the Agreement Details, while any mandatory consumer, copyright, contract or other rights that cannot lawfully be excluded remain unaffected. If a provision is unenforceable in a particular jurisdiction, it is limited only to the minimum extent necessary and the remaining provisions continue to apply.
17. LIABILITY AND MUSIBEE4'S ROLE
Neither party excludes liability that cannot legally be excluded. Otherwise, each party is responsible for losses caused by their own breach. MusiBee4 is the marketplace facilitator and is not a party to this licence unless expressly stated.
18. COMPLETE AGREEMENT AND ACCEPTANCE RECORD
This Agreement, the purchase record and any written additions accepted by both parties form the complete agreement.
